4. Orders, Quotes, and Pricing

1. Requesting a Quote: To request a quote for CNC machining, fabrication, or surface finishing services, users must submit their designs, drawings, and specifications through the website’s Get a Quote form. HRCCNC will review the submitted materials and provide a customized quote based on the complexity, material requirements, and quantity of the order.
2. Order Confirmation: Once the user has reviewed and accepted the quote, they will receive an order confirmation. The order will be processed, and HRCCNC will begin production based on the agreed-upon terms. Any changes to the order after confirmation must be agreed upon by both parties.
3. Pricing: The pricing for each order will depend on the following factors:
   • Materials: Type and quantity of materials required for production (e.g., aluminum, steel, plastic).
   • Complexity: The complexity of the design, including the number of features, tolerances, and processes required.
   • Quantity: Whether the order is for a prototype, small batch, or large-scale production.
   • Additional Services: Services such as surface finishing, anodizing, or polishing will be priced separately.
4. Payment Terms: Payment terms will be outlined during the order confirmation. HRCCNC may require a deposit before production begins, with the balance due upon completion of the order. Accepted payment methods include credit card and wire transfer.

5. Payment Terms

1. Payment Methods: HRCCNC accepts credit card payments and wire transfers for orders. Payments are processed in USD (or other specified currencies), and all charges are subject to applicable taxes.
2. Deposit Requirements: For custom orders, a deposit may be required before production begins. The deposit amount will be determined based on the complexity of the project and the total cost of the order. The deposit ensures the commitment to the project and covers initial production costs.
3. Balance Payment: The remaining balance is due upon completion of the order, before shipment or delivery. HRCCNC will issue an invoice outlining the final amount owed, and payment must be made within 15 days of receiving the invoice.
4. Late Payment: If payment is not received within the stated period, HRCCNC reserves the right to charge late fees or suspend services until payment is made.

6. Intellectual Property

1. User Content: The user retains ownership of all intellectual property rights in the designs, drawings, and specifications (“User Content”) submitted to HRCCNC. By submitting User Content, the user grants HRCCNC a non-exclusive, royalty-free license to use, reproduce, modify, and display the User Content solely for manufacturing, producing, and delivering the ordered parts.
2. HRCCNC’s Intellectual Property: All intellectual property rights in the processes, technologies, and methodologies used by HRCCNC for its services, including any modifications, improvements, or developments made to the user-submitted designs, are owned by HRCCNC and are not transferred to the user.
3. Restrictions: The user agrees not to sell, license, or distribute the manufactured parts or designs, unless specifically agreed upon with HRCCNC in writing. The user also agrees not to reverse-engineer, decompile, or otherwise attempt to recreate the intellectual property of HRCCNC.
4. No Transfer of Rights: Except for the license granted above, no intellectual property rights are transferred to the user. All rights not expressly granted are reserved by HRCCNC.

7. Confidentiality

1. Confidential Information: Any designs, drawings, specifications, or other information submitted by the user (collectively “Confidential Information”) will be treated as confidential by HRCCNC. HRCCNC agrees not to disclose, distribute, or use the Confidential Information for any purpose other than to fulfill the user’s order.
2. Obligations of HRCCNC: HRCCNC will take all reasonable steps to protect the confidentiality of the Confidential Information, including implementing safeguards to prevent unauthorized access, use, or disclosure of such information.
3. Exceptions to Confidentiality: HRCCNC may disclose Confidential Information:
   • To third-party service providers or contractors involved in the production process, solely for the purpose of fulfilling the order.
   • When required by law, regulation, or legal process (e.g., subpoena, court order).
4. User Obligations: The user agrees not to disclose any information shared by HRCCNC that is proprietary to HRCCNC, including any processes, techniques, or trade secrets, unless required by law.

8. Limitation of Liability

1. Exclusion of Liability: HRCCNC will not be held liable for any indirect, consequential, incidental, special, or punitive damages arising out of or in connection with the use of its services, including but not limited to damages resulting from delays, loss of profits, or loss of data.
2. Limitation of Claims: The total liability of HRCCNC for any claim related to its services will be limited to the amount paid by the user for the specific order that gave rise to the claim.
3. Force Majeure: HRCCNC will not be liable for any failure to perform its obligations under these Terms of Service due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, government regulations, or supply chain disruptions.
4. No Warranty for Design Accuracy: HRCCNC does not warrant the accuracy of user-submitted designs and is not liable for any defects or issues arising from inaccurate or incomplete specifications provided by the user.

9. Termination

1. Termination by User: The user may terminate this agreement at any time by providing written notice to HRCCNC. Termination by the user will not affect any outstanding payments due for services rendered up to the point of termination.
2. Termination by HRCCNC: HRCCNC reserves the right to terminate this agreement immediately if the user violates these Terms of Service, including but not limited to:
   • Providing inaccurate or fraudulent designs or specifications.
   • Failing to make required payments within the specified period.
3. Consequences of Termination:
   • Upon termination, HRCCNC will cease all work on the user’s order, and the user will be responsible for any outstanding payments for services already provided.
   • If termination occurs before the production process begins, the user may be entitled to a full or partial refund, depending on the nature of the order.
   • No refund will be provided if the production has already commenced or the user has received any deliverables from HRCCNC.
4. Effect of Termination: Upon termination, the user must immediately cease using the services, and both parties must fulfill any remaining obligations, including payments and delivery of completed parts.

10. Governing Law and Dispute Resolution

Governing Law:
These Terms of Service and any related agreements will be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law principles.

Dispute Resolution:
Any disputes arising out of or in connection with these Terms of Service will be resolved as follows:

• Negotiation: The parties agree to attempt to resolve any dispute through informal negotiation.

   

• Arbitration: If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC) in Shenzhen, China.

   

• Court: If arbitration is not applicable or successful, disputes will be resolved in the courts located in Shenzhen, China. The parties hereby consent to the jurisdiction and venue of such courts.

11. Changes to the Terms of Service
